  • Merchants who use Makta to operate loyalty programs
  • End Users who participate in merchant loyalty programs
  • Visitors to our website or mobile apps
  • Users who interact with Makta through third-party platforms (such as Clover devices, Clover App Market connections, or APIs)

This includes information collected via email, phone, text messages, APIs, automated systems, and embedded merchant tools.

2. Information We Collect

a. Personal Information

We may collect information that identifies or relates to an individual, such as:

  • Name, email, phone number, mailing address
  • Merchant account details
  • Device identifiers, IP address, geolocation
  • Transaction data (e.g., points earned, rewards redeemed, order totals)
  • Customer profile details provided by Merchants
  • Login credentials or account identifiers

b. Technical & Non-Personal Information

Includes:

  • Browser/device type, OS details, cookies, analytics data
  • Usage data (button clicks, pages viewed, session duration)
  • Aggregated or anonymized statistics

We may combine personal and non-personal information for operational purposes.

3. How We Collect Information

We collect information via:

  • Direct input (registration forms, account creation, customer lookups)
  • Automatic tracking (cookies, analytics, web beacons)
  • Third-party integrations (POS systems, APIs, Clover platform data)

  • To the Merchant whose loyalty program a customer joins
  • To service providers under confidentiality contracts
  • During business transfers, mergers, or acquisitions
  • To comply with laws or legal process
  • To protect our rights, property, or safety
  • With your consent, when required

Makta does not sell personal data.

Terms and Conditions

These Terms and Conditions ("Terms") form a binding agreement between you (the "User" or "Merchant") and Makta Customer Club ("Makta," "we," "our," "us"). By accessing or using any part of the Platform or Services, you agree to these Terms and our Privacy Policy. If you disagree, do not use the Platform.

1. Eligibility

You must be of legal age in your jurisdiction and possess authority to bind your business (if applicable).

2. Use of the Platform

Users agree not to:

  • Violate any laws
  • Attempt to disrupt or damage Makta systems
  • Reverse-engineer or misuse Makta's technology
  • Harvest data without authorization
  • Use Makta for competitive intelligence or competing services

3. Accounts and Security

You are responsible for:

  • Maintaining accurate account details
  • Protecting login credentials
  • All activity occurring under your account
  • Immediately reporting unauthorized access

Makta is not liable for losses caused by compromised accounts.

4. Rewards Program

Makta provides technology for Merchants to manage loyalty programs. Makta does not:

  • Set, validate, or guarantee reward rules
  • Determine voucher values
  • Handle customer service issues
  • Manage legal/tax implications of reward programs

Rewards have no cash value, are non-transferable, and may be cancelled at any time by the Merchant.

Makta is not responsible for reward fulfillment, inaccuracies, customer disputes, financial losses, or compliance obligations.

5. Intellectual Property

All Makta content, software, logos, and materials are owned by Makta or its licensors.

Merchants grant Makta a non-exclusive license to use their brand assets for service operation.

6. Third-Party Services

Makta integrates with third-party systems (e.g., Clover).

Makta is not responsible for:

  • Their availability
  • Their data accuracy
  • Failures caused by third-party outages
  • API changes or disruptions

7. Privacy

Use of the Platform is subject to our Privacy Policy.

8. Payment Terms (Merchants)

Merchants agree to:

  • Pay subscription fees as per their Registration Form
  • Provide valid billing details
  • Allow Makta to suspend or terminate service for non-payment

Fees are non-refundable unless required by law.

9. Termination and Suspension

Makta may, at its sole discretion, suspend or terminate access to any account:

  • For violation of these Terms
  • For non-payment
  • For legal or regulatory requirements
  • At any time, for any reason or no reason, with or without notice

Makta is not liable for damages caused by termination.

10. Disclaimers and Limitation of Liability

a. No Warranties

The Services are provided "as is" and "as available."

Makta disclaims all warranties, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy of data
  • Continuous availability

b. Maximum Liability Limitation

To the fullest extent permitted by law:

Makta's total aggregate liability shall not exceed the fees paid by the Merchant in the last three (3) months.

c. No Responsibility For Loss

Makta is not liable for:

  • Loss of profits, revenue, or business
  • Data corruption or loss
  • Reward or voucher disputes
  • Customer dissatisfaction
  • Merchant misconfiguration
  • Integration or API failures
  • System downtime
  • Tax implications

11. Indemnification

You agree to fully indemnify and hold harmless Makta from all claims, damages, liabilities, losses, and costs arising from:

  • Your use of the Platform
  • Your breach of the Terms
  • Your violation of law
  • Customer disputes
  • Reward or voucher calculation errors
  • Incorrect or incomplete data
  • Misuse of the Platform
  • Third-party claims arising from Merchant actions

Makta provides limited indemnification only for valid IP infringement claims solely caused by Makta's technology.

12. Merchant Obligations

Merchants are solely responsible for:

  • Complying with privacy, marketing, spam, and tax laws
  • Maintaining accurate customer data
  • Ensuring accuracy of reward rules
  • Honoring rewards at their discretion
  • Customer communication and service
  • All financial impacts related to loyalty program use

Makta does not provide legal, tax, accounting, or compliance advice.

13. Governing Law

These Terms are governed by the laws of Ontario and the federal laws of Canada.

14. Modifications

Makta may update these Terms at any time and without notice. Continued use of the Services constitutes acceptance.
